Terms of Service

Last Updated: October 2, 2026

1. Acceptance of Terms

Welcome to Zippr. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Zippr ("we," "us," or "our") governing your access to and use of the Zippr platform, including our website at gozippr.com, mobile applications, and all related services (collectively, the "Service").

By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, our End-User License Agreement (EULA), and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

These Terms apply to all users of the Service, including without limitation users who are browsers, customers, vendors, merchants, and/or contributors of content.

Important: These Terms contain provisions that limit our liability to you and require you to resolve disputes with us through binding arbitration on an individual basis, not as a class action. See Section 16 (Dispute Resolution) for details.

3.4 Account Sharing and Multi-User Access

You may add additional users to your organization account according to your subscription plan. Each user must have their own login credentials. Account sharing or credential sharing is prohibited and may result in account suspension or termination.

4. Subscription and Payment Terms

4.1 Subscription Plans

Zippr operates on a subscription-based pricing model. By subscribing to the Service, you agree to pay the applicable fees according to your selected plan. Subscription plans may include different features, user limits, storage capacity, and usage quotas.

4.2 Fees and Billing

  • Subscription Fees: Fees are charged on a monthly or annual basis as selected during subscription
  • Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless cancelled
  • Payment Method: You must provide a valid payment method (credit card, debit card, or other approved method)
  • Authorization: By providing payment information, you authorize us to charge the applicable fees to your payment method
  • Billing Cycle: Billing occurs on the same day of each month/year based on your initial subscription date

4.3 Price Changes

We reserve the right to modify subscription fees at any time. Price changes will take effect at the start of the next billing cycle after we provide you with at least 30 days' advance notice. If you do not agree to a price increase, you may cancel your subscription before the price change takes effect.

4.4 Free Trials and Promotional Offers

We may offer free trials or promotional pricing from time to time. Free trial accounts may have limited features or functionality. At the end of a free trial, your account will automatically convert to a paid subscription unless you cancel before the trial period ends. Promotional pricing terms will be specified at the time of the offer.

4.5 Taxes

All fees are exclusive of applicable federal, state, local, or foreign taxes, levies, or duties ("Taxes"). You are responsible for all Taxes associated with your subscription. If we are required to collect or pay Taxes, they will be charged to your payment method.

4.6 Refunds and Cancellations

Cancellation: You may cancel your subscription at any time through your account settings or by contacting support. Cancellations take effect at the end of the current billing period.

No Refunds: Subscription fees are non-refundable except as required by law or as explicitly stated in these Terms. We do not provide refunds or credits for partial months or years of service, or for unused features or storage.

Exception: If you cancel within 14 days of your initial subscription and have not actively used the Service, you may be eligible for a full refund at our discretion.

If your payment method fails or is declined, we may:

  • Suspend your access to the Service until payment is received
  • Attempt to charge your payment method again
  • Contact you to update your payment information
  • Terminate your account if payment is not received within 30 days

You remain responsible for all outstanding fees during any suspension period.

4.8 Plan Upgrades and Downgrades

Upgrades: When you upgrade your plan, the new rate takes effect immediately, and you will be charged a prorated amount for the remainder of the current billing cycle.

Downgrades: When you downgrade your plan, the change takes effect at the start of the next billing cycle. You will retain access to your current plan's features until the end of the current billing period.

The Service, including its original content, features, functionality, design, software, code, text, graphics, logos, button icons, images, audio clips, and compilation, is owned by Zippr and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes, subject to compliance with these Terms. All rights not expressly granted are reserved by Zippr.

6.2 Restrictions

You may not:

  • Copy, modify, distribute, sell, or lease any part of the Service
  • Reverse engineer or attempt to extract the source code of the Service
  • Create derivative works based on the Service
  • Remove, alter, or obscure any proprietary notices (copyright, trademark, etc.)
  • Use Zippr trademarks, logos, or branding without prior written permission
  • Frame or mirror any part of the Service without our express written consent

6.3 Trademarks

Zippr, the Zippr logo, and other Zippr marks, graphics, logos, and service names are trademarks of Zippr. You may not use these marks without our prior written permission. Other trademarks, service marks, and trade names that may appear on the Service are the property of their respective owners.

6.4 Feedback and Suggestions

If you provide us with any feedback, suggestions, or ideas about the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free, fully sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such Feedback in any form, media, or technology. You waive any moral rights or attribution rights you may have in the Feedback.

7. User Content and Data

7.1 Your Ownership of Content

As between you and Zippr, you retain all ownership rights you hold in the data, content, and materials that you upload, submit, or transmit to or through the Service ("User Content"). This includes customer data, business information, artwork, documents, and any other content you provide.

7.2 License to Zippr

By uploading User Content to the Service, you grant Zippr a limited, worldwide, non-exclusive, royalty-free license to use, store, reproduce, modify, and display your User Content solely for the purpose of:

  • Providing and operating the Service
  • Performing the features and functionality you request
  • Backing up and securing your data
  • Improving and developing the Service
  • Complying with legal obligations

This license terminates when you delete your User Content or close your account, except where we are required to retain copies for legal compliance or as specified in our data retention policies.

7.3 Responsibility for User Content

You are solely responsible for all User Content you upload, transmit, or display on or through the Service. You represent and warrant that:

  • You own all User Content or have obtained all necessary rights, licenses, and permissions to use it
  • Your User Content — including any logos, artwork, designs, images, or other media you upload — does not infringe any third party's copyright, trademark, trade dress, or other intellectual property rights
  • Your User Content does not violate any third-party rights (intellectual property, privacy, publicity, etc.)
  • Your User Content does not violate any applicable laws or regulations
  • Your User Content does not contain viruses, malware, or harmful code
  • You have obtained proper consent to collect, use, and store any personal data in your User Content

7.4 Data Backup

While we perform regular backups of the Service, you are solely responsible for creating and maintaining your own backup copies of User Content. We recommend regularly exporting your data and maintaining independent backups.

7.5 Data Portability

You may export your User Content at any time using our data export features. Upon account closure, we will provide you with the ability to download your data for a period of 30 days, after which your data will be deleted in accordance with our retention policies.

7.6 Prohibited Content

You may not upload, transmit, or store User Content that:

  • Is illegal, harmful, threatening, abusive, harassing, or otherwise objectionable
  • Infringes upon intellectual property rights of others
  • Contains viruses, malware, or harmful code
  • Violates privacy rights or contains unauthorized personal information
  • Contains spam, chain letters, or pyramid schemes
  • Impersonates any person or entity or misrepresents your affiliation

7.7 Intellectual Property in Uploaded Media; No Responsibility for User Content

The Service allows you to upload, store, and reproduce logos, artwork, designs, photographs, and other media — including materials supplied to you by your customers — for use in mockups, quotes, proofs, work orders, company stores, and production workflows. By uploading any media to the Service, you represent and warrant that you own, or hold a valid license or authorization to use, all copyrights, trademarks, and other intellectual property rights in that media for the purposes for which you use it on the Service, and that you have the authority to grant Zippr the license described in Section 7.2.

Zippr does not review, pre-screen, monitor, or verify the intellectual property status of User Content, and, to the fullest extent permitted by applicable law, Zippr is not responsible or liable for any User Content uploaded without the necessary rights or permissions — including content that infringes a third party's trademark, copyright, or other intellectual property rights. Responsibility for clearing rights in uploaded media — including verifying that a customer who supplies a logo or design has the authority to authorize its reproduction — rests solely with you. Any use of the Service to store, display, or reproduce third-party trademarks or copyrighted works without authorization is at your own risk.

If we receive notice that User Content allegedly infringes a third party's intellectual property rights, we will remove or disable access to the content identified in the notice and, in appropriate circumstances, suspend or terminate the accounts of repeat infringers. Claims of infringement may be reported to hello@gozippr.com. You agree to indemnify Zippr for claims arising from your User Content as set forth in Section 15 (Indemnification).

8. Third-Party Integrations

8.1 Available Integrations

Zippr offers integrations with third-party services including Google Workspace (Gmail, Calendar), QuickBooks, and Stripe (for Company Store card payments; see Section 9). These integrations are optional and require you to authorize access to your accounts with these third-party services.

8.2 Authorization and Access

When you connect a third-party integration, you authorize Zippr to:

  • Access your account with the third-party service using OAuth or similar authentication
  • Retrieve, store, and synchronize data from the third-party service only for the integration features you enable
  • Perform actions on your behalf within the scope of the authorized permissions, including automated actions you configure (for example, sending scheduled email sequences from a connected Gmail account), which may run in the background while you are not signed in

Google integrations are connected by individual users for their own Gmail and primary Google Calendar. Authorized organization members may see CRM records created through enabled features, but cannot select another member's Gmail account for a new send. Zippr maintains an audit log of integration authorization activity for security purposes. The permissions granted to each connection, and a summary of the data stored for it, are viewable in your integration settings.

You may revoke these authorizations at any time through your account settings or the third-party service's settings. For Google Workspace integrations, disconnecting removes local token material and requests revocation of Zippr's access at Google; you can also revoke access directly in your Google Account settings. When available, the delete stored Google data option also removes or redacts Google-derived CRM data associated with the connection.

8.3 Third-Party Terms

Your use of third-party integrations is subject to the terms and conditions of those third-party services. You are responsible for complying with all applicable third-party terms. We are not responsible for the actions, content, or policies of third-party services.

8.4 Google API Services User Data Policy

Zippr's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. We use Google user data only to provide and improve visible email and calendar integration features, do not use Google Workspace data for advertising, and do not transfer this data to third parties except as necessary to provide the Service, with your consent, for security, or as required by law.

8.5 Integration Availability

We do not guarantee the continuous availability of any third-party integration. Integrations may be modified, suspended, or discontinued at any time due to changes in third-party APIs, terms of service, or business decisions.

9. Company Store Payments

This section applies if you turn on card payments for a Company Store. It adds to the rest of these Terms; where they conflict for Company Store sales, this section controls.

9.1 Your Stripe Account

Card payments are processed by Stripe into a Stripe account that you own and control, under your own agreement with Stripe, which you accept when you set up the account. Payments settle directly to your Stripe account and are paid out on the schedule you set with Stripe. Stripe charges its processing fees to your Stripe account under your agreement with Stripe. Zippr does not take a portion of your Company Store sales.

9.2 You Are the Seller

You are the seller and merchant of record for every Company Store sale. Zippr provides software only. It is not a party to your sales and does not receive, hold, or transmit your customers' payments. Your Company Store shows shoppers your organization's name as the seller and the support email you provide, and you are responsible for keeping that information accurate.

9.3 Your Authorization

You authorize Zippr's software to act on your Stripe account for your Company Store orders, including to:

  • Create charges for orders your shoppers place
  • Issue the refunds you or your authorized users initiate in the Service, including refunds when an order is cancelled
  • Automatically refund any payment that cannot be matched to an order, for example a payment completed after its checkout expired
  • Read the status of your Stripe account, payments, refunds, and disputes so the Service can show them

9.4 Your Responsibilities

You are solely responsible for:

  • The prices and products you offer in your Company Stores
  • Determining, charging, collecting, reporting, and remitting all sales, use, and other taxes on your sales, including choosing the tax rate the Service applies to each store and confirming it is correct for the products and shipping destinations involved
  • Refunds, cancellations, chargebacks, and disputes, which you respond to through your Stripe account
  • Complying with all laws that apply to your sales, and with your agreement with Stripe

9.5 Indemnification for Company Store Sales

In addition to Section 15 (Indemnification), you will indemnify, defend, and hold harmless Zippr from any claims arising from your Company Store sales, including claims for taxes, interest, or penalties on those sales.

10. AI-Powered Features

10.1 AI Mockup Generation

Zippr uses Google's Gemini AI to provide AI-powered mockup generation features. When you use these features:

  • Your prompts, inputs, and generated content may be processed by Google's AI services
  • AI-generated content is provided "as is" and may require review and editing
  • You are responsible for reviewing and approving all AI-generated content before use
  • AI outputs may not always be accurate, complete, or suitable for your purposes

10.2 AI Content Ownership

To the extent permitted by law and our agreement with Google, you retain ownership of AI-generated content created through the Service. However, you acknowledge that AI-generated content may be similar to content generated for other users and may not be unique.

10.3 AI Usage Limitations

AI features may be subject to usage limitations, rate limits, or additional fees based on your subscription plan. Excessive or abusive use of AI features may result in temporary suspension of access.

10.4 No Warranty for AI Outputs

We make no representations or warranties regarding the accuracy, reliability, completeness, or suitability of AI-generated content. You use AI features at your own risk and are solely responsible for evaluating and verifying AI outputs before use.

11. Service Availability and Modifications

11.1 Service Uptime

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be unavailable due to:

  • Scheduled maintenance (we will provide advance notice when possible)
  • Emergency maintenance or security updates
  • Third-party service outages (hosting, databases, APIs)
  • Network connectivity issues
  • Force majeure events

11.2 Service Modifications

We reserve the right to modify, update, or discontinue any aspect of the Service at any time, including:

  • Adding, removing, or modifying features and functionality
  • Changing technical specifications or performance characteristics
  • Updating user interfaces and workflows
  • Modifying storage limits, usage quotas, or other service parameters

We will provide reasonable notice of material changes that negatively impact functionality, but we are not required to maintain backward compatibility or support deprecated features.

11.3 Beta Features

We may offer beta, preview, or experimental features ("Beta Features") that are clearly designated as such. Beta Features are provided "as is" without warranties of any kind and may contain bugs or errors. Beta Features may be modified or discontinued at any time without notice.

12. Termination and Suspension

12.1 Termination by You

You may terminate your account at any time by:

  • Cancelling your subscription through account settings
  • Contacting our support team at hello@gozippr.com

Termination takes effect at the end of your current billing period. You will continue to have access to the Service until that date. No refunds will be provided for the remainder of the billing period.

12.2 Termination by Zippr

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms or other applicable policies
  • Non-payment of fees
  • Fraudulent, abusive, or illegal activity
  • Violation of intellectual property rights
  • Threats to the security or integrity of the Service
  • Extended period of inactivity
  • Requests by law enforcement or government agencies

12.3 Account Suspension

We may suspend (rather than terminate) your account to investigate suspected violations of these Terms. During suspension, you will not have access to the Service, but your data will be preserved. If the investigation reveals no violation, we will restore your access.

12.4 Effect of Termination

Upon termination of your account:

  • Your right to access and use the Service immediately ceases
  • You will have 30 days to export your User Content using our data export features
  • After 30 days, your User Content will be permanently deleted in accordance with our retention policies
  • You remain responsible for all fees incurred prior to termination
  • Sections of these Terms that by their nature should survive termination will remain in effect

12.5 Survival

The following provisions survive termination: User Responsibilities, Intellectual Property Rights, User Content (license grant), Warranties and Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, and General Provisions.

13. Warranties and Disclaimers

13.1 Disclaimer of Warranties

16.3 Binding Arbitration

IMPORTANT ARBITRATION CLAUSE - PLEASE READ CAREFULLY

EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL CLAIMS COURT OR DISPUTES RELATING TO INTELLECTUAL PROPERTY RIGHTS, ANY DISPUTE, CLAIM, OR CONTROVERSY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED BY BINDING ARBITRATION ON AN INDIVIDUAL BASIS.

Arbitration shall be conducted by a neutral arbitrator in accordance with the American Arbitration Association (AAA) Commercial Arbitration Rules. The arbitration will be held in the United States in the county where Zippr is headquartered or another mutually agreed location.

The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

16.4 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY LAW, (A) NO ARBITRATION OR PROCEEDING SHALL BE JOINED WITH ANY OTHER; (B) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED OR RESOLVED ON A CLASS-ACTION BASIS OR TO UTILIZE CLASS ACTION PROCEDURES; AND (C) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR ANY OTHER PERSONS.

16.5 Exceptions to Arbitration

  • Disputes that qualify for small claims court
  • Injunctive or equitable relief for intellectual property infringement

17.4 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

17.5 Waiver

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of that or any other provision. Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

17.6 Independent Contractors

Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and Zippr. You and Zippr are independent contractors.

17.7 Force Majeure

Zippr shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

17.9 United States Government Rights

If you are a U.S. government entity, the Service is a "commercial item" as defined in 48 C.F.R. 2.101, and is provided with only those rights as are granted to all other users under these Terms.
