End-User License Agreement

Last Updated: August 7, 2026

This End-User License Agreement ("EULA") is a legal agreement between you ("you," "your," or "Licensee") and Zippr ("we," "us," or "Licensor") for the use of the Zippr software platform, including the web application, APIs, integrations, and all related documentation (collectively, the "Software"). By creating an account, accessing, or using the Software, you agree to be bound by the terms of this EULA. If you do not agree, do not use the Software.

1. License Grant

Subject to your compliance with this EULA and any applicable subscription terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Software solely for your internal business purposes during the term of your subscription.

This license permits you to:

  • Access and use the Software through a supported web browser or authorized client application
  • Create user accounts for authorized employees and contractors within your organization, subject to the seat limits of your subscription plan
  • Use the Company Store feature to provide controlled product ordering access to your designated end customers
  • Generate, store, and export business data including quotes, invoices, work orders, and customer records within the Software

The license is personal to you and your organization and may not be sublicensed, shared, or transferred without our prior written consent.

2. License Restrictions

You may not:

  • Copy, modify, adapt, translate, or create derivative works based on the Software or any part thereof
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Software
  • Rent, lease, lend, sell, redistribute, sublicense, or otherwise transfer the Software or access thereto to any third party
  • Remove, alter, or obscure any proprietary notices, labels, or marks on the Software
  • Use the Software to develop a competing product or service, or for benchmarking purposes without our written consent
  • Use the Software in any manner that violates applicable laws, regulations, or third-party rights
  • Circumvent or attempt to circumvent any access controls, security measures, or usage limitations built into the Software
  • Access the Software through automated means (bots, scrapers, crawlers) except through our published APIs and within documented rate limits
  • Share login credentials between multiple individuals or use a single account to circumvent seat-based licensing

3. Intellectual Property

The Software, including all code, design, text, graphics, interfaces, algorithms, and the selection and arrangement thereof, is owned by Zippr and protected by copyright, trademark, and other intellectual property laws. This EULA does not convey to you any ownership interest in or to the Software, but only a limited license to use the Software as expressly set forth herein.

All trademarks, service marks, trade names, logos, and other brand identifiers displayed in the Software are the property of Zippr or their respective owners. You are not granted any right or license to use any such marks without the prior written consent of the applicable owner.

Any feedback, suggestions, or ideas you provide regarding the Software ("Feedback") may be used by Zippr without restriction, obligation, or compensation to you. You hereby assign to Zippr all rights in and to any Feedback.

3.1 Open Font Notices

  • Inter - Copyright 2020 The Inter Project Authors.
  • Space Grotesk - Copyright 2020 The Space Grotesk Project Authors.

The font software is provided under the SIL Open Font License and may not be sold by itself. The Montserrat license is included with the bundled Montserrat font files in our source distribution. 4. User Data & Content

As between you and Zippr, you retain all rights you hold in the data, content, and materials you upload, submit, or create through the Software ("Your Content"). You grant Zippr a limited, non-exclusive license to host, store, process, and display Your Content solely for the purpose of providing and improving the Software.

You are solely responsible for the accuracy, legality, and appropriateness of Your Content. You represent and warrant that you own, or hold a valid license or authorization to use, all rights — including all copyrights and trademarks — in any media you upload to the Software, including logos, artwork, designs, images, and materials supplied to you by your customers; that you have the authority to grant Zippr the license described in this Section 4; and that Your Content does not infringe any third-party rights.

Zippr does not review, pre-screen, or verify the intellectual property status of Your Content, and, to the fullest extent permitted by applicable law, Zippr is not responsible or liable for any content uploaded to the Software without the necessary rights or permissions — including content that infringes a third party's trademark, copyright, or other intellectual property rights. Clearing rights in uploaded media is solely your responsibility, and any unauthorized reproduction of third-party marks or works through the Software is at your own risk. We will remove or disable access to content identified in a notice of claimed infringement and, in appropriate circumstances, will suspend or terminate the accounts of repeat infringers.

If you connect optional third-party accounts to the Software (such as Google Workspace or QuickBooks), you authorize Zippr to access, store, and process data from those accounts solely for the integration features you enable, as described in our Privacy Policy and Terms of Service. Zippr's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. You may disconnect these integrations at any time in your account settings.

We implement industry-standard security measures to protect Your Content, including encryption in transit and at rest, row-level security policies, and organizational data isolation. However, no method of electronic storage or transmission is 100% secure. For detailed information about how we handle your data, please refer to our Privacy Policy.

Upon termination of your account, we will make Your Content available for export for a period of 30 days. After that period, we reserve the right to delete Your Content from our systems, unless retention is required by applicable law.

5. Software Updates

Zippr may, from time to time, update, modify, or enhance the Software. Such updates may include bug fixes, feature additions, feature removals, security patches, performance improvements, or architectural changes. Updates are applied automatically as part of our hosted service and do not require action on your part.

We will use commercially reasonable efforts to notify you of material changes to the Software that significantly affect your use. However, we reserve the right to make changes at any time without prior notice.

Continued use of the Software after any update constitutes your acceptance of the updated Software and any revised terms that may accompany such update.

6. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ZIPPR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Zippr does not warrant that:

  • The Software will meet your specific requirements or expectations
  • The Software will be uninterrupted, timely, secure, or free from errors or defects
  • The results obtained from use of the Software will be accurate, reliable, or complete
  • Any errors or defects in the Software will be corrected within any particular timeframe
  • AI-generated content, including mockups and suggestions, will be suitable for any particular purpose or free from inaccuracies

You acknowledge that you use the Software at your own risk and that you are solely responsible for any decisions or actions taken based on information or output provided by the Software.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZIPPR, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, BUSINESS INTERRUPTION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF ZIPPR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

ZIPPR'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS EULA OR YOUR USE OF THE SOFTWARE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ZIPPR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

8. Termination

This EULA is effective until terminated. Your license to use the Software terminates automatically if you fail to comply with any term of this EULA.

Zippr may terminate or suspend your access to the Software at any time, with or without cause, with or without notice. Grounds for termination include but are not limited to:

  • Breach of any provision of this EULA
  • Non-payment of subscription fees
  • Fraudulent, abusive, or unlawful activity
  • Upon request by law enforcement or other government agencies to the extent permitted by law
  • Discontinuation of the Software or any part thereof

You may terminate this EULA at any time by ceasing all use of the Software and deleting your account. Termination does not entitle you to a refund of any prepaid fees except as may be set forth in your subscription agreement.

Upon termination, all rights granted to you under this EULA shall immediately cease. Sections 3, 6, 7, 9, and 10 shall survive termination.

9. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of laws provisions.

Any legal action or proceeding arising under this EULA shall be brought exclusively in the federal or state courts located in Travis County, Texas, and you irrevocably consent to the personal jurisdiction and venue therein.

If any provision of this EULA is held to be unenforceable or invalid, such provision shall be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions shall continue in full force and effect.

10. Relationship to Other Agreements

This EULA governs your license to use the Zippr Software. Your use of the Zippr service is also subject to our Terms of Service and Privacy Policy.

In the event of a conflict between this EULA and the Terms of Service, the Terms of Service shall control with respect to matters related to service access, payment, and account management. This EULA shall control with respect to software licensing, intellectual property, and usage restrictions.

Together, this EULA, the Terms of Service, the Privacy Policy, and any applicable subscription agreement constitute the entire agreement between you and Zippr regarding the Software and the Service.
